Introduction

These Terms of Service ("Terms") govern your use of software products, demo applications, and services provided by Assurique SARL ("Assurique", "we", "us", "our"). By purchasing, installing, downloading, or using our software or demo applications, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Definitions

"Software"

Any Assurique product licensed to you, along with all associated documentation, updates, and patches.

"License"

The right granted to you under these Terms to install and use the Software.

"Customer"

The individual or entity that has purchased a license to use the Software, or an individual using our demo applications. Also referred to as "you" or "your".

"End User"

Individuals whose identity is verified using the Software.

"On-Premise"

Deployment on infrastructure owned and operated by you.

"Demo Application"

Our free demonstration applications available on Google Play and the Apple App Store.

Part I — Licensed Software

License Grant

3.1 Scope

Subject to your compliance with these Terms and payment of applicable fees, Assurique grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software on your own infrastructure for internal business purposes.

3.2 License Restrictions

You shall not:

Copy, modify, adapt, translate, or create derivative works of the Software
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code
Rent, lease, lend, sell, sublicense, or distribute the Software to any third party
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
Use the Software to provide services to third parties (SaaS, bureau, or hosted service) without a separate agreement
Circumvent or disable any license enforcement, security features, or usage restrictions
Transfer the License to a different machine or infrastructure without prior written consent

3.3 License Key

The Software is activated through a cryptographically signed license file tied to your specific deployment environment. The license file specifies: the licensed product, authorized machine, maximum worker count, and expiration date. Tampering with, sharing, or attempting to forge license files constitutes a material breach of these Terms.

Deployment & Installation

4.1 On-Premise Deployment

The Software is deployed entirely on your infrastructure. You are responsible for:

  • Providing hardware that meets minimum system requirements specified in the documentation
  • Installing and maintaining the operating system, Docker runtime, and GPU drivers
  • Network configuration, firewalls, and access controls
  • Backups and disaster recovery of your deployment

4.2 No Cloud Dependency

The Software operates fully on-premise with no outbound connections to Assurique servers. There is no telemetry, usage tracking, or data collection by Assurique.

Data Ownership & Processing

5.1 Your Data

All data processed by the Software — including identity documents, biometric data, verification results, and any other personal data — remains entirely under your ownership and control. Assurique has no access to, and does not process or store, any End User data.

5.2 Data Controller

You are the sole data controller for all personal data processed through the Software, as defined by Algerian Law 18-07. You are responsible for:

Obtaining appropriate legal basis and consents for processing End User data
Complying with applicable data protection laws, including Law 18-07, Regulation 24-64, and Instruction 06-2025
Implementing appropriate data retention and deletion policies
Responding to data subject access requests under Articles 32–35 of Law 18-07

5.3 No Data Processor Relationship

Because the Software runs entirely on your infrastructure with no data flowing to Assurique, we do not act as a data processor. No Data Processing Agreement (DPA) is required.

Support & Maintenance

6.1 Support

Support terms, including response times, channels, and scope, are defined in your individual service agreement. Standard support includes assistance with installation, configuration, and troubleshooting of the Software.

6.2 Updates

During your active license period, you are entitled to receive software updates, patches, and security fixes as they become available. Updates are delivered as new Docker images and are applied by you on your infrastructure.

6.3 Professional Services

Additional services such as custom integration, training, on-site deployment assistance, and configuration consulting are available under separate agreements.

Fees & Payment

7.1 License Fees

License fees are specified in your individual purchase agreement or order form. Fees may be structured as one-time perpetual licenses or recurring annual licenses, as agreed.

7.2 Payment Terms

Unless otherwise specified in your purchase agreement, invoices are due within thirty (30) days of the invoice date. Late payments may incur interest at the maximum rate permitted by applicable Algerian law.

7.3 Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and governmental charges related to your purchase, excluding taxes on Assurique's income.

Part II — Demo Applications

Demo Application Terms

8.1 Scope

This section applies to users of our free Demo Applications: Assurique Identity Verification and Assurique SmartID, available on Google Play and the Apple App Store.

8.2 Permitted Use

Demo Applications are provided free of charge for evaluation and demonstration purposes only. You may use them to:

  • Evaluate the capabilities of Assurique products
  • Demonstrate identity verification technology to your organization

8.3 Restrictions

You shall not:

Use Demo Applications for production identity verification or any commercial purpose
Rely on Demo Application results for identity verification decisions
Attempt to extract, reverse engineer, or replicate any component of the Demo Applications
Use Demo Applications to process identity documents of third parties without their knowledge and consent
Redistribute, modify, or create derivative works of the Demo Applications

8.4 Data Handling

Assurique Identity Verification

Document images and liveness video are transmitted to our demo server for processing and deleted immediately after processing. No data is retained.

Assurique SmartID

All processing occurs entirely on your device. No data is transmitted over the network at any time.

8.5 No Warranty for Demo Applications

Demo Applications are provided "as is" for evaluation purposes. We make no guarantees regarding availability, accuracy, or suitability of demo results. We may modify, suspend, or discontinue Demo Applications at any time without notice.

8.6 Demo Server

The demo server is maintained for demonstration purposes only. We do not guarantee uptime, performance, or availability. The demo server may be taken offline for maintenance or discontinued at any time.

Part III — General Terms

Intellectual Property

9.1 Ownership

Assurique retains all right, title, and interest in and to the Software and Demo Applications, including all intellectual property rights. These Terms do not grant you any ownership rights.

9.2 Feedback

If you provide suggestions, ideas, or feedback regarding the Software, Assurique may use such feedback without any obligation to you.

9.3 Third-Party Components

The Software may include open-source or third-party components, each subject to its own license terms. A list of third-party components and their licenses is provided in the Software documentation.

Warranties & Disclaimers

10.1 Limited Warranty — Licensed Software Only

Assurique warrants that the licensed Software will perform substantially in accordance with its documentation for a period of twelve (12) months from the date of delivery ("Warranty Period"). If the Software does not conform to this warranty, Assurique will, at its option, repair or replace the Software, or refund the license fees paid.

10.2 Disclaimer

EXCEPT FOR THE LIMITED WARRANTY ABOVE, ALL SOFTWARE AND DEMO APPLICATIONS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.3 No Guarantee of Results

The Software and Demo Applications perform identity verification using automated techniques including optical character recognition, biometric analysis, and cryptographic verification. Assurique does not guarantee the accuracy of any individual verification result. You are responsible for defining and implementing appropriate review processes for verification decisions.

Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE ALGERIAN LAW, IN NO EVENT SHALL ASSURIQUE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

11.2 Cap on Liability

ASSURIQUE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ASSURIQUE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE DEMO APPLICATIONS, ASSURIQUE'S LIABILITY SHALL NOT EXCEED ZERO.

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for the purposes of these Terms. Confidential information includes, but is not limited to, pricing, technical specifications, and business strategies disclosed during the relationship. This obligation survives termination of these Terms for a period of three (3) years.

13

Term & Termination

13.1 Term

For licensed Software, these Terms are effective from the date you first install or use the Software and continue for the duration specified in your license agreement. For Demo Applications, these Terms apply for as long as you use the applications.

13.2 Termination for Breach

Either party may terminate these Terms if the other party materially breaches any provision and fails to cure such breach within thirty (30) days of written notice.

13.3 Termination for Convenience

Either party may terminate these Terms with ninety (90) days' written notice. For Demo Applications, you may terminate at any time by uninstalling the application.

13.4 Effect of Termination

Upon termination:

  • Your license to use the Software is immediately revoked
  • You must uninstall and destroy all copies of the Software in your possession
  • You must delete or return any Assurique confidential information

Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the People's Democratic Republic of Algeria, including:

Law 18-07 — Protection of individuals with regard to the processing of personal data
Law 05-01 (as amended) — Prevention and combating of money laundering and terrorism financing
Commercial Code — Applicable commercial law provisions

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the competent courts of Algiers, Algeria.

15

General Provisions

15.1 Entire Agreement

These Terms, together with any applicable purchase agreement or order form, constitute the entire agreement between the parties regarding the subject matter hereof.

15.2 Amendments

Assurique may update these Terms from time to time. Material changes will be communicated to active customers with at least thirty (30) days' notice. For Demo Application users, updated Terms will be posted on our website. Continued use after such notice constitutes acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Assignment

You may not assign or transfer these Terms without Assurique's prior written consent. Assurique may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

15.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, government actions, or internet outages.

15.6 Notices

All notices under these Terms shall be in writing and sent to the addresses specified in the applicable purchase agreement, or to contact@assurique.com.
